PLATFORM TERMS OF USE

PART 1 – INTRODUCTION
1. Purpose
1.1 These Platform Terms of Use ("Platform Terms") govern access to and use of the Platform operated by Wonder Group International Pty Ltd ABN 33 618 065 197 ("Wonder Group", "WW", "we", "our" or "us").
1.2 The Platform provides a technology-enabled ecosystem through which Users may access Marketplace Services and other digital products and services made available by Wonder Group from time to time.
The Platform may include, without limitation:
(a) marketplace services;
(b) booking functionality;
(c) payment facilitation;
(d) vendor management tools;
(e) customer portals;
(f) software-as-a-service (SaaS) functionality;
(g) artificial intelligence (AI) features;
(h) communication tools;
(i) education and training resources;
(j) community features;
(k) mobile applications;
(l) application programming interfaces (APIs);
(m) integrations with third-party services; and
(n) any other products or services made available by Wonder Group.
1.3 These Platform Terms establish the general legal framework governing the use of the Platform by all Users.
Specific activities may also be governed by additional agreements, including the:
(a) Marketplace Payment Services Agreement;
(b) Vendor Terms & Conditions;
(c) Customer Booking Terms;
(d) Privacy Policy;
(e) Cookie Policy;
(f) Acceptable Use Policy;
(g) Community Guidelines; and
(h) any other policy, schedule or agreement published by Wonder Group from time to time.
Where an additional agreement applies to a particular activity, it supplements these Platform Terms.
2. Acceptance
By accessing or using the Platform, creating an Account, browsing Listings, making a Booking, listing Vendor Services or otherwise using any Marketplace Services, the User agrees to be bound by these Platform Terms.
If the User does not agree to these Platform Terms, they must immediately cease using the Platform.
3. Platform Principles
The User acknowledges and agrees that:
(a) Wonder Group operates a technology platform and marketplace.
(b) Wonder Group facilitates connections between Customers and Vendors but is not the supplier of Vendor Services unless expressly stated otherwise.
(c) Vendor Services are supplied solely by the relevant Vendor.
(d) Wonder Group may introduce new Platform functionality, products or Marketplace Services from time to time.
(e) Access to the Platform is granted as a revocable licence subject to ongoing compliance with these Platform Terms.
(f) Wonder Group may establish reasonable operational, technical, quality and security requirements to protect the Platform and its Users.
4. Relationship Between Users
Unless expressly stated otherwise:
(a) Bookings create contractual relationships directly between the Customer and the Vendor.
(b) Wonder Group is not a party to those contracts solely because it operates the Platform or facilitates Marketplace Services.
(c) Wonder Group's rights and obligations relating to payment processing are governed by the Marketplace Payment Services Agreement.
(d) The rights and obligations of Vendors are governed by the Vendor Terms & Conditions.
(e) The rights and obligations of Customers in relation to Bookings are governed by the Customer Booking Terms.
PART 2 – DEFINITIONS & INTERPRETATION
5. Definitions
Unless otherwise defined in these Platform Terms, capitalised terms have the meanings given in the Marketplace Payment Services Agreement, Vendor Terms & Conditions and Customer Booking Terms.
For the purposes of these Platform Terms:
Account means a registered user account enabling access to some or all Platform features.
AI Services means any artificial intelligence, machine learning, recommendation engine, automated planning tool, chatbot, content generation tool or other automated functionality made available through the Platform.
Community Content means any content submitted by Users to forums, discussion boards, groups, events or other community features.
Platform Content means all text, software, graphics, branding, logos, databases, layouts, designs, videos, audio, images and other content made available by Wonder Group through the Platform, excluding Vendor Content and User Content.
Platform Licence means the limited, revocable, non-exclusive, non-transferable licence granted by Wonder Group to access and use the Platform in accordance with these Platform Terms.
Third Party Services means products, software, websites, payment providers, APIs, applications or services provided by persons other than Wonder Group that integrate with or are accessible through the Platform.
User Content means any content uploaded, submitted, published or transmitted by a User through the Platform, including reviews, photographs, comments, messages and Community Content.
6. Interpretation
The interpretation provisions contained in the Marketplace Payment Services Agreement apply equally to these Platform Terms.
Unless the context otherwise requires:
(a) references to the Platform include future upgrades, enhancements, modules, mobile applications, APIs and replacement systems;
(b) references to Marketplace Services include all current and future services offered by Wonder Group;
(c) references to AI Services include future AI technologies made available through the Platform;
(d) references to Third Party Services include future integrations and technology partners approved by Wonder Group.
PART 3 – PLATFORM ACCESS & USER ACCOUNTS
7. Platform Licence
7.1 Grant of Licence
Subject to these Platform Terms, Wonder Group grants each User a limited, revocable, non-exclusive, non-transferable and non-sublicensable Platform Licence to access and use the Platform for its intended purpose.
The Platform Licence does not transfer any ownership or proprietary rights in the Platform.
7.2 Conditions of Licence
The Platform Licence is conditional upon the User:
(a) complying with these Platform Terms;
(b) complying with applicable laws;
(c) complying with all additional agreements applicable to the User's activities;
(d) maintaining accurate Account information;
(e) not engaging in Prohibited Conduct.
7.3 Revocation
Wonder Group may suspend, restrict or revoke the Platform Licence in accordance with these Platform Terms.
8. Eligibility
A User must:
(a) have legal capacity to enter into a binding agreement;
(b) provide accurate registration information;
(c) comply with any age requirements published by Wonder Group;
(d) satisfy any identity verification requirements applicable to the User.
Wonder Group may refuse registration or continued access where it reasonably considers the User unsuitable for participation in the Platform.
9. User Accounts
9.1 Account Registration
Certain Platform features require an Account.
Each User must provide complete and accurate information when creating an Account.
9.2 Account Security
Users are responsible for maintaining the confidentiality of their login credentials.
Users must immediately notify Wonder Group of any unauthorised use of their Account or suspected security breach.
9.3 Account Responsibility
A User is responsible for all activity occurring through its Account unless the User demonstrates that the activity resulted solely from a security failure attributable to Wonder Group.
9.4 Identity Verification
Wonder Group may require identity verification before allowing access to some Platform features.
Verification requirements may change from time to time depending on operational, legal or security requirements.
10. Platform Access
Wonder Group may:
(a) introduce new Platform functionality;
(b) discontinue existing features;
(c) introduce subscription services;
(d) restrict access to certain Users;
(e) provide beta functionality;
(f) introduce APIs and integrations;
(g) introduce AI-powered functionality;
(h) modify the appearance or operation of the Platform,
provided that such changes are made acting reasonably and, where they materially affect Users' rights, in accordance with these Platform Terms.
Users acknowledge that access to particular features may depend on account type, subscription level, geographic location, regulatory requirements or technical compatibility.
11. Acceptable Use
Users must use the Platform only for lawful purposes and in accordance with these Platform Terms.
A User must not:
(a) interfere with the operation or security of the Platform;
(b) attempt to gain unauthorised access to any system or Account;
(c) upload malicious software;
(d) scrape, harvest or systematically extract Platform data without written permission;
(e) use automated tools except where expressly authorised;
(f) infringe intellectual property rights;
(g) engage in misleading, deceptive or fraudulent conduct;
(h) misuse AI Services;
(i) upload unlawful, offensive or inappropriate content;
(j) impersonate another person or entity;
(k) use the Platform in any manner reasonably likely to damage the integrity, security or reputation of the Platform.
PART 4 – MARKETPLACE SERVICES, AI & USER CONTENT
12. Marketplace Services
12.1 Nature of the Platform
The Platform is a technology-enabled marketplace and digital services ecosystem operated by Wonder Group.
Wonder Group may provide one or more Marketplace Services, including:
(a) Vendor discovery and search;
(b) Booking functionality;
(c) payment facilitation;
(d) Vendor management tools;
(e) customer portals;
(f) event planning tools;
(g) educational content;
(h) communication tools;
(i) AI Services;
(j) SaaS products;
(k) reporting and analytics;
(l) mobile applications;
(m) APIs and integrations; and
(n) any other digital products or services made available from time to time.
12.2 Platform Operator
Wonder Group operates the Platform as an independent technology provider.
Except where expressly stated otherwise, Wonder Group does not provide or perform Vendor Services listed on the Platform.
12.3 Evolution of Services
The User acknowledges that the Platform is intended to evolve over time.
Wonder Group may, acting reasonably:
(a) introduce new Marketplace Services;
(b) modify existing functionality;
(c) retire obsolete features;
(d) introduce subscription or premium services;
(e) launch pilot or beta features;
(f) introduce new technologies, including AI Services;
(g) integrate Third Party Services; and
(h) expand the Platform into additional markets or jurisdictions.
13. Artificial Intelligence (AI) Services
13.1 AI Features
The Platform may include AI Services designed to assist Users with planning, recommendations, search, content generation, automation, customer support or other functions.
13.2 Informational Assistance Only
Unless expressly stated otherwise, AI-generated content, recommendations and responses are provided for general informational purposes only.
Users remain responsible for exercising their own judgement before relying on AI-generated outputs.
13.3 No Professional Advice
AI Services do not constitute legal, financial, taxation, accounting, migration, travel, medical or other professional advice.
Where professional advice is required, Users should obtain advice from an appropriately qualified professional.
13.4 Accuracy
While Wonder Group seeks to improve AI Services over time, it does not warrant that AI-generated outputs will be accurate, complete, current or suitable for a User's particular circumstances.
13.5 Responsible Use
Users must not use AI Services:
(a) for unlawful purposes;
(b) to generate misleading or deceptive content;
(c) to infringe another person's rights;
(d) to create harmful, abusive or discriminatory material;
(e) to circumvent the Platform or applicable law.
Wonder Group may suspend or restrict access to AI Services where it reasonably believes misuse has occurred.
14. User Content
14.1 Ownership
Users retain ownership of their User Content.
Nothing in these Platform Terms transfers ownership of User Content to Wonder Group.
14.2 Licence to Wonder Group
By submitting User Content through the Platform, the User grants Wonder Group a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to:
(a) host;
(b) store;
(c) reproduce;
(d) publish;
(e) display;
(f) communicate;
(g) distribute;
(h) modify solely for formatting, technical compatibility or accessibility;
(i) use the User Content for operating, maintaining, improving, promoting and developing the Platform and Marketplace Services.
This licence continues for as long as the User Content remains on the Platform and for any additional period reasonably necessary to comply with legal obligations or maintain business records.
14.3 User Warranties
The User warrants that:
(a) it owns or has the necessary rights to upload the User Content;
(b) the User Content does not infringe any third-party rights;
(c) the User Content is accurate and not misleading;
(d) uploading the User Content does not breach any law or contractual obligation.
15. Reviews & Ratings
15.1 Customer Feedback
Customers may submit reviews and ratings relating to Vendor Services and their experience using the Platform.
15.2 Authenticity
Reviews must be based on genuine experiences and must not be false, misleading or manipulated.
15.3 Moderation
Wonder Group may review, moderate, edit (for formatting or offensive language only), decline to publish or remove reviews where it reasonably believes they:
(a) are unlawful;
(b) are defamatory;
(c) contain offensive or abusive language;
(d) disclose confidential or personal information;
(e) are fraudulent or misleading;
(f) breach these Platform Terms or applicable law.
15.4 No Endorsement
Publication of a review does not constitute an endorsement by Wonder Group of the Vendor, Customer or the views expressed.
16. Community Features
Where the Platform includes forums, discussion groups, networking features or community functions, Users must engage respectfully and in accordance with the Community Guidelines.
Wonder Group may moderate, suspend or remove Community Content where reasonably necessary to protect Users or maintain the integrity of the Platform.
17. Third Party Services
The Platform may provide access to or integrate with Third Party Services.
Wonder Group does not control those Third Party Services and is not responsible for their availability, content, security or performance.
A User's use of Third Party Services may be subject to separate terms imposed by the relevant provider.
18. Beta Features
Wonder Group may make trial, pilot, experimental or beta features available to selected Users.
Beta features are provided on an "as available" basis and may be modified, suspended or withdrawn at any time.
Users acknowledge that beta features may contain errors, be incomplete or change without notice.
Participation in a beta programme does not create any entitlement to continued access or future commercial release.
19. Platform Content
All Platform Content is owned by or licensed to Wonder Group and is protected by applicable intellectual property laws.
Except as expressly permitted by these Platform Terms or applicable law, Users must not reproduce, distribute, modify, adapt, create derivative works from or commercially exploit Platform Content without Wonder Group's prior written consent.
PART 5 – INTELLECTUAL PROPERTY
20. Ownership of Platform Intellectual Property
20.1 Ownership
The Platform, Marketplace Services and all Platform Content are owned by or licensed to Wonder Group and are protected by applicable intellectual property laws.
Nothing in these Platform Terms transfers ownership of any intellectual property rights from Wonder Group to a User.
20.2 Platform Intellectual Property
Wonder Group's intellectual property includes, without limitation:
(a) software;
(b) source code;
(c) object code;
(d) databases;
(e) algorithms;
(f) AI models and prompts developed by Wonder Group;
(g) Platform design and user interface;
(h) logos, branding and trade marks;
(i) business processes;
(j) documentation;
(k) APIs;
(l) Marketplace methodologies;
(m) operational frameworks; and
(n) all improvements, updates and enhancements.
21. User Licence
Subject to these Platform Terms, Wonder Group grants each User a limited, revocable, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose.
The licence automatically terminates upon suspension or termination of the User's Account or Platform Licence.
22. User Content
Users retain ownership of User Content submitted to the Platform.
By submitting User Content, the User grants Wonder Group a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, publish, communicate, display and use that content for:
(a) operating the Platform;
(b) facilitating Marketplace Services;
(c) improving Platform functionality;
(d) promoting the Platform;
(e) developing future products and services.
Wonder Group may edit User Content only to the extent reasonably necessary for formatting, accessibility, moderation or technical compatibility, unless otherwise authorised by the User.
23. Vendor Content
Each Vendor retains ownership of its business name, branding, photographs, service descriptions and other Vendor Content.
The Vendor grants Wonder Group a non-exclusive, worldwide, royalty-free licence to use Vendor Content for:
(a) displaying Listings;
(b) promoting the Marketplace;
(c) marketing campaigns;
(d) social media;
(e) educational materials;
(f) Marketplace analytics;
(g) Platform improvements.
This licence continues until the Vendor removes the relevant content or the Vendor Terms are terminated, subject to Wonder Group's rights to retain archival records and historical Booking information.
24. Feedback
Users may voluntarily provide suggestions, ideas, recommendations or feedback regarding the Platform.
Unless otherwise agreed in writing, Wonder Group may use such feedback without restriction or payment and may incorporate it into the Platform, Marketplace Services or future products.
25. Artificial Intelligence
Wonder Group retains ownership of all AI systems, AI workflows, prompts, models, algorithms and technology developed by or for Wonder Group.
Except where expressly stated otherwise, Users do not acquire ownership of AI-generated methodologies, workflows or Platform intelligence solely because they use AI Services.
Nothing in this clause affects a User's ownership of content they create independently or rights they may have under applicable law.
PART 6 – PRIVACY & DATA GOVERNANCE
26. Privacy Commitment
Wonder Group is committed to protecting Personal Information and handling data responsibly in accordance with its Privacy Policy and applicable privacy laws.
The Privacy Policy forms part of these Platform Terms.
27. Collection & Use of Information
Wonder Group may collect and use information for purposes including:
(a) operating the Platform;
(b) facilitating Marketplace Services;
(c) identity verification;
(d) payment administration;
(e) fraud prevention;
(f) customer support;
(g) regulatory compliance;
(h) improving Platform functionality;
(i) AI development using de-identified or lawfully authorised data;
(j) analytics and reporting.
28. Data Governance Principles
Wonder Group manages Platform data in accordance with the following principles:
- lawfulness;
- transparency;
- proportionality;
- security;
- accountability;
- data minimisation;
- purpose limitation.
29. Platform Analytics
Wonder Group may generate aggregated or de-identified statistical information relating to Platform usage, Bookings, Marketplace performance and operational trends.
Aggregated information does not identify individual Users and may be used for business intelligence, research, product development and industry reporting.
30. International Data
Where Platform operations involve international processing, storage or transfer of Personal Information, Wonder Group will take reasonable steps to ensure such information is handled in accordance with applicable privacy laws and its Privacy Policy.
31. Cybersecurity
Wonder Group implements reasonable technical and organisational measures to protect the Platform against unauthorised access, misuse, loss or disclosure.
Users also share responsibility for maintaining the security of their Accounts and devices.
PART 7 – PLATFORM OPERATIONS
32. Platform Availability
Wonder Group will use reasonable endeavours to make the Platform available on a continuous basis.
The Customer acknowledges that the Platform may occasionally be unavailable due to:
(a) scheduled maintenance;
(b) emergency maintenance;
(c) software upgrades;
(d) cybersecurity incidents;
(e) failures of telecommunications, hosting or cloud service providers;
(f) Force Majeure Events; or
(g) other circumstances beyond Wonder Group's reasonable control.
Wonder Group does not warrant uninterrupted or error-free operation of the Platform.
33. Platform Evolution
The Platform is intended to continually evolve.
Wonder Group may introduce, modify, suspend or discontinue Platform features, Marketplace Services, AI Services, APIs, integrations, mobile applications or other functionality where reasonably necessary to:
(a) improve the Platform;
(b) introduce new products or services;
(c) address security or operational requirements;
(d) comply with applicable law;
(e) respond to customer or vendor needs; or
(f) improve the overall Marketplace.
Where a change materially affects Users' rights or obligations, Wonder Group will provide reasonable notice where practicable.
34. Third-Party Integrations
The Platform may integrate with Third-Party Services, including payment processors, mapping services, messaging platforms, travel providers, CRM systems, AI providers and other technology services.
Wonder Group is not responsible for:
(a) the availability of Third-Party Services;
(b) changes made by Third-Party Service providers;
(c) interruptions caused by Third-Party Services;
(d) the terms, policies or practices of Third-Party Service providers.
Users remain responsible for complying with any separate terms applicable to Third-Party Services.
35. Beta & Trial Services
Wonder Group may make beta, pilot or trial features available to selected Users.
Users acknowledge that beta services:
(a) may change without notice;
(b) may contain errors or incomplete functionality;
(c) may be withdrawn at any time;
(d) are provided for evaluation purposes.
Participation in any beta programme does not create any entitlement to ongoing access.
36. Security
Wonder Group is committed to maintaining the security and integrity of the Platform.
Users must:
(a) maintain secure passwords;
(b) protect Account credentials;
(c) promptly notify Wonder Group of suspected unauthorised access;
(d) comply with reasonable cybersecurity requirements published by Wonder Group.
Wonder Group may implement additional security measures, including multi-factor authentication, identity verification, device verification and fraud monitoring where reasonably necessary.
37. Service Communications
Wonder Group may communicate with Users regarding:
(a) Platform updates;
(b) maintenance;
(c) security incidents;
(d) Booking administration;
(e) payment matters;
(f) regulatory changes;
(g) new Platform functionality.
Operational communications are considered part of the Marketplace Services and are not marketing communications solely because they are sent electronically.
38. Operational Standards
Wonder Group may publish operational standards, guidance notes, technical requirements and user instructions relating to the operation of the Platform.
Users must comply with all reasonable operational standards published by Wonder Group from time to time where those standards are consistent with these Platform Terms and reasonably necessary for the operation, security or integrity of the Platform.
PART 8 – PLATFORM GOVERNANCE
39. Governance Principles
Wonder Group administers the Platform in accordance with the following governance principles:
(a) transparency;
(b) proportionality;
(c) consistency;
(d) accountability;
(e) protection of Customers and Vendors;
(f) integrity of the Marketplace;
(g) allocation of responsibility to the participant best placed to manage the relevant risk.
These principles guide the exercise of Wonder Group's rights under these Platform Terms but do not create independent causes of action.
40. Compliance Monitoring
Wonder Group may monitor compliance with these Platform Terms, applicable Platform policies and Marketplace standards.
Monitoring may include:
(a) Account activity;
(b) Listings;
(c) Bookings;
(d) communications conducted through the Platform;
(e) payment activity;
(f) fraud indicators;
(g) customer complaints;
(h) Vendor performance.
Monitoring will be undertaken in accordance with applicable law and the Privacy Policy.
41. Investigations
Where Wonder Group reasonably suspects a breach of these Platform Terms, fraud, unlawful conduct or activity that may adversely affect the Platform, Wonder Group may investigate the matter.
An investigation may include:
(a) requesting information or documents;
(b) reviewing Platform records;
(c) consulting affected Users;
(d) temporarily restricting access to relevant Platform functionality where reasonably necessary.
Users agree to cooperate with reasonable requests made during an investigation.
42. Marketplace Integrity
Wonder Group may take reasonable action to protect the integrity, security and reputation of the Platform.
This may include action to address:
(a) fraudulent activity;
(b) fake Accounts;
(c) fake reviews;
(d) payment fraud;
(e) misuse of AI Services;
(f) cyber threats;
(g) attempts to circumvent the Marketplace;
(h) conduct likely to damage public confidence in the Platform.
43. Graduated Enforcement Framework
Where Wonder Group reasonably believes a User has breached these Platform Terms or applicable Platform policies, Wonder Group may take one or more of the following actions, having regard to the nature, seriousness and frequency of the conduct:
Level 1 – Education
(a) guidance;
(b) reminders;
(c) requests for corrective action.
Level 2 – Compliance
(d) warnings;
(e) additional verification;
(f) temporary feature restrictions;
(g) enhanced monitoring.
Level 3 – Protective Action
(h) suspension of Listings;
(i) suspension of the Platform Licence;
(j) suspension of Marketplace Services;
(k) payment holds where permitted under the Marketplace Payment Services Agreement.
Level 4 – Serious Breaches
(l) termination of the User's Account;
(m) permanent removal from the Platform;
(n) reporting matters to regulatory or law enforcement authorities where required or appropriate.
Where reasonably practicable, Wonder Group will provide the User with an opportunity to respond before taking enforcement action, unless immediate action is reasonably necessary to protect the Platform, Users or comply with applicable law.
44. Fraud Prevention
Wonder Group may implement fraud prevention measures including:
(a) identity verification;
(b) transaction monitoring;
(c) payment verification;
(d) document verification;
(e) risk assessments;
(f) account reviews.
Wonder Group may delay or restrict access to Marketplace Services where reasonably necessary to investigate suspected fraud or unlawful conduct.
45. Audit & Compliance Reviews
Where reasonably necessary to verify compliance with these Platform Terms or applicable Platform policies, Wonder Group may request information or documentation from a User.
Audit requests will be proportionate, relevant to the issue under review and conducted in accordance with applicable law.
46. Platform Decisions
Operational decisions made by Wonder Group under these Platform Terms are intended to support the integrity, security and proper operation of the Platform.
Unless otherwise required by applicable law, administrative decisions made by Wonder Group do not determine the legal rights or liabilities of Users in relation to disputes arising outside the Platform.
47. Continuous Improvement
Wonder Group is committed to the ongoing improvement of the Platform.
Accordingly, Wonder Group may review and update:
(a) Marketplace standards;
(b) operational procedures;
(c) Platform functionality;
(d) governance practices;
(e) risk management processes;
(f) AI Services;
(g) user guidance.
Where material changes affect Users' rights or obligations, Wonder Group will provide notice in accordance with these Platform Terms.
PART 9 – GENERAL PROVISIONS
48. Document Hierarchy
48.1 Integrated Legal Framework
These Platform Terms form part of the Wonder Group legal framework governing access to and use of the Platform.
Depending on the User's activities, one or more additional agreements or policies may also apply, including:
(a) the Marketplace Payment Services Agreement;
(b) the Vendor Terms & Conditions;
(c) the Customer Booking Terms;
(d) the Privacy Policy;
(e) the Acceptable Use Policy;
(f) the Community Guidelines;
(g) the AI Services & Responsible Use Standards; and
(h) any other policy, schedule or agreement published by Wonder Group from time to time.
48.2 Order of Precedence
Where more than one Wonder Group agreement applies to the same subject matter, the documents are intended to operate together.
If an inconsistency cannot reasonably be reconciled, the following order of precedence applies:
(a) applicable law;
(b) the Marketplace Payment Services Agreement for payment processing and settlement matters;
(c) the Vendor Terms & Conditions for Vendor-specific matters;
(d) the Customer Booking Terms for Customer Booking matters;
(e) these Platform Terms for Platform access, governance and Marketplace Services; and
(f) applicable policies and schedules.
49. Privacy
Wonder Group collects, uses, stores and discloses Personal Information in accordance with its Privacy Policy and applicable privacy laws.
The Privacy Policy forms part of these Platform Terms and should be read together with this agreement.
50. Electronic Communications
Users consent to receiving notices, confirmations, operational updates, security notifications, payment communications and other communications electronically.
Electronic communications are deemed received when transmitted to the User's nominated email address, Platform Account or other approved electronic communication channel, unless the User demonstrates that the communication was not received due to circumstances beyond the User's reasonable control.
51. Notices
Any notice under these Platform Terms may be given:
(a) through the Platform;
(b) by email;
(c) by another electronic communication method approved by Wonder Group; or
(d) where required by law, by another legally recognised method.
Users are responsible for ensuring their contact details remain current.
52. Assignment
A User may not assign or transfer any rights or obligations under these Platform Terms without Wonder Group's prior written consent.
Wonder Group may assign or transfer its rights and obligations to:
(a) a related body corporate;
(b) a successor entity;
(c) a purchaser of the Platform or substantially all of its business or assets; or
(d) another entity as part of a merger, acquisition or corporate restructure,
provided such assignment does not materially reduce the User's rights under these Platform Terms.
53. Amendments
Wonder Group may amend these Platform Terms where reasonably necessary to:
(a) comply with changes in law;
(b) improve Marketplace Services;
(c) introduce new Platform functionality;
(d) improve security;
(e) respond to technological developments;
(f) improve governance;
(g) reflect changes to the operation of the Platform.
Material amendments will operate prospectively.
Wonder Group will provide reasonable notice of material amendments by publication on the Platform, email or another appropriate electronic communication method where required by applicable law.
Continued use of the Platform after the effective date of the amendments constitutes acceptance of the updated Platform Terms, except where applicable law requires additional consent.
54. Good Governance
Wonder Group is committed to administering the Platform in a fair, transparent, proportionate and commercially reasonable manner.
Accordingly, where these Platform Terms confer a discretion on Wonder Group, Wonder Group will exercise that discretion having regard to:
(a) the integrity and security of the Platform;
(b) the protection of Customers and Vendors;
(c) the allocation of responsibility to the participant best placed to manage the relevant risk;
(d) consistency of decision-making;
(e) applicable law; and
(f) the legitimate interests of Users and Wonder Group.
Nothing in this clause limits any express right conferred on Wonder Group by these Platform Terms or applicable law.
55. Entire Agreement
These Platform Terms, together with all agreements, policies and schedules expressly incorporated by reference, constitute the entire agreement between Wonder Group and the User regarding access to and use of the Platform.
56. Waiver
A failure or delay by Wonder Group to exercise any right or remedy under these Platform Terms does not constitute a waiver of that right or remedy.
Any waiver must be in writing and applies only to the specific circumstances for which it is given.
57. Severability
If any provision of these Platform Terms is held to be invalid, illegal or unenforceable, that provision will be severed to the extent necessary, and the remaining provisions will continue in full force and effect.
58. Survival
The following provisions survive suspension or termination of the Platform Licence or these Platform Terms to the extent necessary to give them effect:
(a) intellectual property;
(b) privacy and data governance;
(c) payment obligations;
(d) limitation of liability;
(e) indemnities;
(f) dispute resolution;
(g) audit rights;
(h) confidentiality obligations;
(i) any provision that by its nature is intended to survive.
59. Governing Law & Jurisdiction
These Platform Terms are governed by the laws of New South Wales, Australia.
The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts competent to hear appeals from those courts.
Nothing in this clause prevents proceedings from being commenced in another jurisdiction where required by applicable law.
60. Contact Details
Questions regarding these Platform Terms or the Platform may be directed to Wonder Group using the contact details published on the Platform from time to time.
Wonder Group may update its contact details without amending these Platform Terms, provided the updated details are published on the Platform.
SCHEDULE 1 – ACCEPTABLE USE POLICY
1. Purpose
This Schedule forms part of the Platform Terms of Use and sets out the standards of acceptable use applicable to all Users.
2. Permitted Use
Users may use the Platform only for lawful purposes and in accordance with the Platform Terms.
3. Prohibited Activities
Users must not:
- use the Platform for any unlawful purpose;
- upload malware, viruses or malicious code;
- attempt to gain unauthorised access to any system or Account;
- scrape, harvest or systematically extract Platform data without written consent;
- interfere with the operation, security or performance of the Platform;
- impersonate another person or entity;
- create fake Accounts, Bookings, reviews or enquiries;
- circumvent Marketplace Fees or the Payment Services;
- infringe intellectual property rights;
- upload unlawful, offensive, discriminatory or defamatory material;
- engage in spam or unsolicited marketing;
- misuse Personal Information;
- use bots or automated systems except where expressly authorised;
- attempt to reverse engineer or decompile the Platform except as permitted by law.
4. Enforcement
Wonder Group may investigate suspected breaches of this Schedule and may issue warnings, suspend Accounts, remove content, restrict access or terminate Platform access where reasonably necessary.
SCHEDULE 2 – COMMUNITY GUIDELINES
Purpose
Wonder Group aims to foster a respectful, inclusive and professional marketplace community.
Community Standards
Users should:
- communicate respectfully;
- provide honest feedback;
- support constructive discussions;
- respect cultural diversity;
- protect the privacy of others;
- avoid abusive, threatening or discriminatory behaviour.
Reviews
Reviews should:
- relate to genuine experiences;
- be fair and accurate;
- avoid offensive language;
- not disclose confidential or personal information;
- not be manipulated or incentivised in a misleading manner.
Community Management
Wonder Group may moderate, edit for formatting or offensive language, restrict visibility or remove Community Content that breaches these Guidelines or the Platform Terms.
SCHEDULE 3 – AI SERVICES & RESPONSIBLE USE STANDARDS
Purpose
This Schedule establishes standards for the responsible use of AI Services made available through the Platform.
Guiding Principles
AI Services are intended to assist Users by providing recommendations, planning support, automation and informational content.
AI outputs should not be relied upon as a substitute for professional advice or independent judgement.
Users must not:
- generate unlawful or harmful content;
- create misleading or deceptive information;
- infringe intellectual property rights;
- impersonate another person;
- generate discriminatory or abusive material;
- attempt to manipulate AI systems;
- use AI outputs to circumvent the Platform.
AI Improvements
Users acknowledge that Wonder Group may use de-identified interaction data to improve AI Services, subject to the Privacy Policy and applicable law.
SCHEDULE 4 – PLATFORM GOVERNANCE FRAMEWORK
1. Purpose
This Schedule explains the governance framework used by Wonder Group to administer the Platform.
It is intended to promote transparency, consistency and confidence in the operation of the Marketplace.
Where there is any inconsistency between this Schedule and the operative provisions of the Platform Terms, the Platform Terms prevail.

- payment activity;
- fraud monitoring;
- identity verification;
- security monitoring. Monitoring will be undertaken in accordance with applicable law and the Privacy Policy.
4. Graduated Enforcement Framework
Where a User does not comply with the Platform Terms or applicable Platform policies, Wonder Group may adopt a proportionate response.

- communicate with affected Users;
- monitor future activity;
- temporarily restrict Platform access where reasonably necessary. An investigation is conducted for Platform governance purposes only and does not determine legal liability between Users.
6. Continuous Improvement
Wonder Group may periodically review:
- Marketplace standards;
- Platform functionality;
- AI Services;
- cybersecurity;
- operational policies;
- governance processes;
- Marketplace quality standards. Material changes affecting Users' rights will be communicated in accordance with the Platform Terms.
SCHEDULE 5 – PLATFORM SERVICES FRAMEWORK
1. Purpose
Wonder Group operates a technology-enabled Platform that may provide one or more Marketplace Services.
This Schedule summarises the types of services that may be available through the Platform.
The availability of particular services may vary depending upon jurisdiction, User type, subscription level or future Platform development.

- search optimisation;

- reporting;
- translation;
- other AI functionality developed by Wonder Group. Availability of AI Services may change over time.
5. Future Services
Wonder Group may introduce additional Marketplace Services from time to time including:
- subscriptions;
- premium memberships;
- education platforms;
- certification programmes;
- business services;
- financial administration tools;
- loyalty programmes;
- marketplace partnerships;
- international marketplace functionality. Nothing in this Schedule obliges Wonder Group to introduce or continue any particular Platform feature.
SCHEDULE 6 – USER ROLES & RESPONSIBILITIES FRAMEWORK
1. Purpose
The Wonder Group Marketplace is founded on the principle that responsibility should be allocated to the participant best placed to manage the relevant risk.
This Schedule summarises the primary responsibilities of participants within the Platform.

- Responsibility should remain with the participant best able to manage the relevant risk.
- Wonder Group facilitates the Marketplace but does not become the supplier of Vendor Services solely because it operates the Platform.
- The Lead Vendor is responsible only for the coordination services it has expressly agreed to provide.
- Independent Vendors remain responsible for their own Vendor Services.
- Third-party suppliers remain responsible for their own products and services.
4. Shared Responsibility
Some Marketplace activities involve shared responsibilities. Examples include:

Nothing in this Schedule alters the legal responsibilities established by the Platform Terms, the Marketplace Payment Services Agreement, the Vendor Terms & Conditions or the Customer Booking Terms.
